Wholesale Account Terms & Conditions
Goldback Australia
Operated by No Bull Bullion Pty Ltd
ABN 66 664 095 658
Last updated: 24 October 2026
1. Introduction
These Wholesale Account Terms & Conditions (“Wholesale Terms”) govern applications for, approval of and use of wholesale purchasing accounts offered by No Bull Bullion Pty Ltd (ABN 66 664 095 658), trading as Goldback Australia (“Goldback Australia”, “we”, “us” or “our”).
Goldback Australia operates as an online retailer and wholesale supplier of Goldbacks, Silverbacks and related products.
These Wholesale Terms should be read together with our Website Terms & Conditions, Shipping, Returns & Refunds Policy and Privacy Policy. The current versions should be available through our online store at shop.goldback.au.
Where a specific written supply agreement has been entered into, that agreement will prevail over these Wholesale Terms to the extent of any inconsistency, subject to applicable law.
Nothing in these Wholesale Terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, restricted or modified.
2. Wholesale Account Eligibility
Wholesale accounts are intended for legitimate businesses purchasing products for resale or other approved commercial purposes.
Applicants may include registered companies, sole traders, partnerships, trusts and other legitimate business structures.
Applicants must provide accurate information about their business and their intended wholesale purchasing activities.
Goldback Australia may consider factors including:
- Business identity and registration.
- Australian Business Number (ABN).
- Business structure and operating activities.
- The identity and authority of the applicant.
- Intended purchasing and resale activities.
- Relevant trading history or business information.
- Payment and transaction verification.
- Compliance with applicable legal and regulatory requirements.
Holding an ABN or submitting an application does not automatically entitle an applicant to wholesale approval.
3. Wholesale Account Application
Applicants must complete the wholesale registration process and provide the information reasonably required to assess eligibility.
This may include:
- Legal business name and trading name.
- ABN and business structure.
- Business and contact addresses.
- Business contact information.
- Website or other evidence of commercial operations.
- The nature of the business and intended wholesale purchasing activities.
- Information about authorised representatives.
- Relevant regulatory and compliance information.
- Additional documents reasonably necessary to verify the application.
The person submitting the application confirms that they are authorised to act on behalf of the applicant business.
Information provided must be accurate and complete to the best of the applicant’s knowledge.
Knowingly false or misleading information may be grounds for declining an application or reviewing an existing wholesale account.
4. Application Review and Approval
Wholesale account applications are subject to review by Goldback Australia.
An application may be:
- Approved.
- Placed on hold pending additional information.
- Declined following assessment.
Submitting an application does not guarantee approval, access to wholesale pricing or the ability to place wholesale orders. Applicants may have an ordinary retail customer account while the wholesale application is pending, but wholesale benefits are not available until expressly approved by Goldback Australia.
Goldback Australia may request reasonable supporting information before making an approval decision.
Applications will be assessed using relevant commercial, security, verification and legal considerations.
Goldback Australia may decline an application on reasonable, lawful grounds relating to eligibility, verification, business suitability, security or regulatory compliance.
Approval applies to the business identified in the application and its authorised representatives.
A wholesale account is not transferable to another business without our agreement.
5. Regulatory Compliance and AUSTRAC Information
Goldback Australia may request information relevant to compliance with Australian anti-money laundering and counter-terrorism financing laws, sanctions requirements, fraud-prevention obligations and other applicable legislation.
Wholesale applicants may be asked whether their business:
- Is registered or enrolled with AUSTRAC, where applicable.
- Has an AUSTRAC registration or enrolment reference.
- Maintains an AML/CTF compliance program or policy.
- Has a nominated AML/CTF compliance officer or manager.
A response indicating that an applicant is not currently registered with AUSTRAC, or does not maintain an AML/CTF policy, does not automatically result in wholesale rejection.
Relevant regulatory obligations depend on the applicant’s actual activities and the designated services it provides.
Goldback Australia may request further information where reasonably necessary to assess eligibility or meet its own legal obligations.
Wholesale approval does not constitute a legal opinion or certification that the applicant complies with AML/CTF legislation.
Each business remains responsible for understanding and meeting its own applicable legal obligations.
Goldback Australia may delay or decline transactions where required or authorised by law.
6. Wholesale Account Access
Once approved, a wholesale customer may receive access to relevant wholesale pricing and purchasing functions. Wholesale privileges are restricted to approved accounts and authorised users; an ordinary customer account or a pending application does not qualify for wholesale discounts.
Account privileges may include access to wholesale prices, minimum-order quantities, business purchasing arrangements and other features offered to approved customers.
Goldback Australia does not guarantee that every product will be available to every wholesale customer.
Certain products, denominations, releases or quantities may be subject to separate purchasing restrictions.
Wholesale account access does not create a franchise, agency, partnership, employment relationship or exclusive distributorship.
Optional public distributor map: Wholesale applicants may separately choose whether to be considered for a public listing. Opting in is voluntary and does not affect whether an application is approved. Listing is subject to our approval and any applicable brand-use requirements. We may list an approved business name, business website and agreed general business location; a private residential or billing address will not be publicly displayed without separate, specific permission. A business can ask us to remove its listing. A map listing does not grant exclusivity or other distribution rights.
7. Wholesale Pricing
Wholesale prices are determined by Goldback Australia and may vary according to:
- Product and denomination.
- Manufacturer or supplier pricing.
- Precious-metal market conditions.
- Foreign exchange movements.
- Available supply.
- Applicable quantity discounts.
- Commercial purchasing arrangements.
Wholesale prices may change for future purchases.
Unless expressly agreed otherwise, the price applicable to an accepted order is the agreed price confirmed through the order acceptance process.
Goldback Australia will not unilaterally increase the agreed price of an accepted order solely because precious-metal prices or exchange rates subsequently rise.
Where a pricing or listing error is identified before acceptance, we may decline the order and refund any payment received.
Any pricing or fulfilment issue arising after acceptance will be addressed in accordance with the contract and applicable law.
8. GST and Taxation
Wholesale prices will be displayed in Australian dollars unless otherwise stated.
Where GST-exclusive pricing is displayed in circumstances permitted by law, the GST-exclusive nature of the price will be clearly identified. Prices and the final amount payable, including applicable GST, must be accurately presented in accordance with Australian pricing laws and the purchasing context.
Applicable GST, shipping charges and other relevant costs will be disclosed before the customer submits an order.
The GST treatment of individual products depends on applicable Australian taxation law and the nature of the particular product.
Goldback Australia does not represent that all Goldbacks, Silverbacks or precious-metal-related products are GST-free or exempt from GST.
Wholesale customers are responsible for obtaining independent taxation advice about their own purchasing, resale and reporting obligations.
Goldback Australia will provide invoices and transaction records as required by applicable law.
9. Minimum Wholesale Order Value
Unless otherwise agreed in writing, Goldback Australia’s minimum wholesale order value is AUD $5,000 excluding GST.
For online wholesale orders, the minimum is calculated using the eligible product subtotal after applicable product discounts, excluding GST and shipping or delivery charges. The minimum must be met before a wholesale order can be placed.
This minimum applies only to approved wholesale purchasing and is not a minimum-dollar spend for ordinary retail orders. Product-specific minimum quantities and ordering multiples may still apply to retail and wholesale purchases.
For wholesale orders arranged outside the website, the same minimum ordinarily applies unless otherwise agreed and disclosed in writing before the order is accepted.
Goldback Australia may approve a different minimum for a particular transaction by written agreement. Any exception must be reflected in the applicable ordering arrangements; approval of an exception does not automatically change the online checkout validation.
Changes to the minimum will apply to future transactions, not retrospectively to accepted orders.
10. Minimum Purchase Quantities
Individual products may have minimum purchase quantities, denomination-based requirements or purchasing multiples.
For example, different Goldback denominations and Silverback product types may have different minimum quantities.
Applicable quantities will be displayed in the relevant product listings or communicated before acceptance of the order. Minimum quantities and multiples are independent of the $5,000 wholesale order-value requirement.
Wholesale customers must purchase in the applicable quantities or multiples unless Goldback Australia expressly agrees otherwise.
Product-specific minimum quantities may be revised for future orders based on supply, manufacturer requirements or commercial conditions.
Such changes will not retrospectively alter the agreed quantities under accepted orders.
11. Placing Wholesale Orders
Submitting a wholesale order constitutes an offer to purchase the selected goods on the disclosed terms.
An automated order acknowledgement, payment instruction or receipt does not necessarily constitute acceptance of the offer. In particular, an order marked On hold while awaiting bank-transfer payment is not, solely by reason of that status, a confirmation of contractual acceptance.
An order becomes accepted in accordance with the order acceptance provisions of our Website Terms & Conditions.
Before acceptance, Goldback Australia may decline an order on reasonable grounds, including insufficient stock, genuine pricing errors, incomplete verification, suspected fraud or applicable legal restrictions.
Where payment has been received for an order that is not accepted, Goldback Australia will arrange an appropriate refund within a reasonable period.
Accepted orders are binding, subject to applicable legal rights and any agreed contractual cancellation provisions.
12. Payment Terms
Unless otherwise agreed, wholesale orders must be paid using one of the payment methods made available by Goldback Australia.
Direct electronic bank transfer (EFT) is an available payment method.
Additional payment methods, if introduced and made available at checkout, will be subject to their disclosed terms. They are not currently promised as available.
Payment deadlines and applicable payment conditions will be disclosed before the order is submitted or separately agreed in writing.
Payment is not considered received merely because a transfer has been initiated. Funds may require verification and clearance.
Goldback Australia may hold fulfilment while payment verification or legally required checks are completed.
No credit facility or deferred payment arrangement is provided unless separately approved and agreed in writing.
Failure to pay an accepted order will be dealt with in accordance with applicable law and the agreed contractual terms.
13. Precious-Metal Price Fluctuations
Goldbacks, Silverbacks and related precious-metal products may be subject to significant price fluctuations.
Their prices may be affected by precious-metal markets, exchange rates, manufacturing premiums, availability and demand.
Wholesale customers acknowledge that these factors can cause prices to rise or fall after an order is accepted.
A subsequent market-price reduction does not automatically entitle the customer to cancel an accepted order, obtain a refund or demand a lower price.
Likewise, a subsequent market-price increase does not entitle Goldback Australia to increase the agreed price of an accepted order without the customer’s agreement or other lawful basis.
Nothing in this section restricts non-excludable statutory rights.
14. Strict No Change-of-Mind Returns
Goldback Australia does not accept voluntary change-of-mind cancellations, returns, refunds or exchanges for Goldbacks or Silverbacks once an order has been accepted.
This policy applies to approved wholesale customers, subject to applicable law.
Reasons that do not ordinarily entitle a wholesale customer to a voluntary return include:
- A subsequent fall in precious-metal prices.
- Changes in resale demand.
- A reduction in anticipated resale margins.
- Finding a lower price elsewhere.
- Changes in business purchasing preferences.
- Ordering more stock than subsequently required.
Where Goldback Australia exceptionally agrees to accept a voluntary return of non-faulty products, the conditions in Section 15 apply.
This policy does not remove any contractual or statutory remedy that cannot lawfully be excluded.
15. Exceptional Returns and Restocking Fee
Goldback Australia may exceptionally agree to accept non-faulty products for return.
Such returns require prior authorisation.
Where an exceptional voluntary return is agreed (and not where a remedy is required under applicable law):
- Goldback Australia and the customer must agree to the return conditions before the goods are sent back.
- A restocking fee of 25% of the original purchase price of the returned products will apply where disclosed and agreed as part of that voluntary arrangement.
- The customer is responsible for reasonable return shipping costs unless otherwise agreed.
- Goods must be returned in the agreed condition.
- Goldback Australia may inspect returned items before processing the agreed refund.
- Any approved refund will reflect the agreed restocking fee and other lawful charges expressly agreed for the return.
The 25% restocking fee does not apply where doing so would unlawfully reduce a statutory refund, consumer guarantee remedy or other non-excludable entitlement.
16. Shipping and Delivery
Wholesale orders are dispatched through shipping services made available by Goldback Australia.
Applicable shipping costs, options and any optional charges will be disclosed before purchase.
Delivery and dispatch estimates may depend on payment clearance, product availability, order size, verification requirements and carrier operations.
Goldback Australia maintains business insurance covering eligible goods in transit, subject to applicable insurance terms, limits and exclusions.
Such insurance is maintained by No Bull Bullion Pty Ltd and does not automatically make wholesale customers individual policyholders.
Customers should review our Shipping, Returns & Refunds Policy for further information.
Any customer rights or seller obligations relating to lost, damaged or undelivered goods will be determined in accordance with applicable law and the agreed terms of sale. A customer does not lose any applicable statutory rights by selecting a standard shipping option rather than an optional insured-shipping option. The complete price of each available shipping option will be displayed before purchase.
17. Product Availability and Allocation
Products and wholesale quantities are subject to actual availability and applicable supply arrangements.
Goldback Australia does not guarantee ongoing availability of particular designs, denominations, release series, grades or quantities.
Where product availability is limited, orders may be subject to reasonable supply restrictions disclosed before acceptance.
Any allocation arrangements will be applied consistently with accepted orders and applicable law.
No substitution of materially different goods will occur without the customer’s agreement.
18. Resale Responsibilities
Wholesale customers are responsible for complying with laws applicable to their own business, including requirements relating to:
- Advertising and product representations.
- Consumer protection.
- Applicable taxation.
- Business licensing or registration.
- Importing, exporting or shipping where relevant.
- AML/CTF obligations where applicable.
- Product authenticity and descriptions.
- Intellectual property rights.
Wholesale customers must not make false or misleading claims about Goldback Australia, product characteristics or relationships with manufacturers.
Wholesale approval does not authorise the customer to act as Goldback Australia’s legal agent.
Customers must not represent themselves as an exclusive distributor, official manufacturer representative or holder of territorial rights unless such rights have been expressly granted in writing.
19. Manufacturer Branding and Intellectual Property
Goldbacks, Silverbacks and other products may incorporate trademarks, branding, artwork and designs owned by manufacturers or other rights holders.
Wholesale customers are responsible for ensuring that their promotional and resale activities comply with applicable intellectual property laws and any authorised brand-use guidelines communicated to them.
Wholesale account approval does not, by itself, grant ownership of or an unrestricted licence to intellectual property belonging to Goldback Australia or any third party.
Customers must not alter products, packaging, grades, certifications or manufacturer representations in a misleading manner.
20. Confidential Wholesale Information
Wholesale customers may receive non-public commercial information, including individually negotiated pricing, supply arrangements or other information expressly identified as confidential or reasonably understood to be commercially confidential.
Customers must take reasonable steps to protect such information against unauthorised disclosure.
This obligation does not prevent disclosures:
- Required by law.
- To professional advisers who need the information.
- To authorised employees or contractors for legitimate business purposes.
- To regulatory authorities.
- Of information already legitimately public.
This clause does not prohibit lawful price advertising, statutory reporting, complaints or the exercise of legal rights.
21. Account Security
Wholesale account holders are responsible for taking reasonable steps to protect their login credentials and restrict account access to authorised persons.
Customers must notify Goldback Australia promptly of suspected unauthorised access.
Goldback Australia may request verification before accepting sensitive changes to account information, payment details or business ownership details.
Accounts must not be transferred or shared with unrelated businesses without approval.
22. Changes to Business Information
Wholesale customers must notify Goldback Australia within a reasonable time of material changes affecting their account, including:
- Changes to their legal business name or ABN.
- Changes in ownership or authorised representatives.
- Material changes to business operations affecting eligibility.
- Changes to contact or delivery information.
- Circumstances affecting required regulatory compliance.
We may request reasonable supporting documentation to update the account.
23. Account Suspension and Termination
Goldback Australia may suspend wholesale privileges where reasonably necessary to investigate:
- Suspected fraud or unauthorised account access.
- Material misrepresentation.
- Serious misuse of wholesale privileges.
- Material breaches of these terms.
- Relevant legal or regulatory concerns.
- Outstanding payment obligations under agreed terms.
Where appropriate and lawful, we will provide notice and an opportunity to explain or remedy an issue.
Wholesale privileges may be terminated on reasonable grounds relevant to continued eligibility, account security, material contractual breaches or legal compliance.
Suspension or termination does not automatically cancel accepted orders or remove accrued rights and obligations.
Any suspension or termination will be exercised consistently with applicable law and applicable protections against unfair contract terms.
24. No Exclusivity or Guaranteed Supply
Approval as a wholesale customer does not create:
- An exclusive distribution agreement.
- An exclusive territory.
- A franchise.
- An agency relationship.
- A guaranteed supply arrangement.
- A guaranteed resale margin.
- A guarantee of particular product releases or allocations.
Any special appointment, exclusive territory or separate distribution right must be expressly agreed in writing.
Goldback Australia will honour specific obligations arising under accepted orders and other enforceable agreements.
25. Consumer Law and Business Purchases
Wholesale customers acknowledge that many wholesale orders are placed for resale.
Under Australian Consumer Law, certain consumer guarantees do not apply to goods acquired for the purpose of resupply.
However, the availability of statutory rights depends on the nature and circumstances of the transaction.
Applicable protections against unfair contract terms, misleading conduct and other unlawful business practices may continue to apply.
Nothing in these Wholesale Terms excludes, restricts or modifies any statutory right or remedy where doing so would be unlawful.
26. Liability
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.
Subject to applicable law, each party is responsible for losses recoverable as a consequence of its breach of contract or other legally actionable conduct.
Goldback Australia does not guarantee a customer’s resale profitability, future market prices or ability to resell products at any particular value.
Any limitation of liability must be interpreted consistently with applicable law, including protections against unfair contract terms.
27. Privacy and Information Handling
Information collected in connection with wholesale applications and transactions, including optional consent for a public business listing, will be handled in accordance with our Privacy Policy and applicable law.
This may include business verification, order administration, account management, fraud prevention and legally required record-keeping.
Where relevant, we may disclose information to authorised service providers or government authorities in accordance with applicable legal requirements.
Wholesale customers must ensure they are authorised to provide personal information concerning their representatives, employees or beneficial owners.
28. Disputes and Complaints
If a dispute arises, the parties should first attempt to resolve the issue through good-faith communication.
Wholesale customers may contact:
Email: info@goldback.au
Telephone: 1300 427 866
Please provide relevant account, order or transaction details.
Nothing in these terms prevents either party from obtaining professional advice, reporting a matter to a regulator, seeking urgent relief or exercising lawful rights.
29. Changes to Wholesale Terms
Goldback Australia may update its wholesale terms for future applications and transactions.
We will not retrospectively alter an accepted order’s price or other material contractual obligations without agreement or another lawful basis.
Where a material change affects an ongoing wholesale arrangement, reasonable notice will be provided where required, and applicable contractual and statutory rights will be respected.
30. Governing Law
These Wholesale Terms are governed by the laws of Queensland, Australia, subject to applicable Commonwealth legislation and mandatory laws protecting the parties.
Nothing in these terms prevents proceedings being brought in a court or tribunal where applicable law permits.
31. Severability
If a provision is held invalid or unenforceable, it will be ineffective to the extent required by law.
The remaining provisions will continue to operate to the extent legally permissible.
This clause does not validate any unlawful or unfair contract term.
